1. Eligibility and Authority

We may update or modify these Terms at any time in our sole discretion. Any changes will become effective when posted on the Services, unless a different effective date is stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

We reserve the right to modify, suspend, discontinue, or limit any part of the Services at any time, with or without notice.

4. No Professional Advice; No Guarantee of Results

The Services are provided for general business, educational, informational, operational, and commercial purposes only. Nothing on the Services constitutes legal, tax, accounting, financial, investment, employment, or other licensed professional advice unless expressly stated in a separate written agreement signed by us. We do not guarantee any particular business outcome, revenue result, customer growth, lead volume, conversion rate, automation efficiency, cost savings, performance level, or other result from your use of the Services. Business results depend on many factors beyond our control, including your market, effort, timing, business model, offer quality, follow-through, third-party platforms, advertising performance, customer behavior, and economic conditions.

5. Account, Contact, and Submission Information

You agree that any information you provide through the Services, including contact details, payment information, booking information, lead forms, consultation submissions, and other materials, will be accurate, current, complete, and not misleading. You are responsible for maintaining the confidentiality of any account credentials, login information, or access methods associated with the Services. You are responsible for all activity occurring under your account or through your access, whether or not authorized by you, to the extent permitted by law.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in violation of any applicable law, regulation, or third-party right
• Submit false, deceptive, fraudulent, or misleading information
• Interfere with or disrupt the operation, security, integrity, or performance of the Services

• Use the Services in a manner that could damage our reputation, infrastructure, operations, or legal interests
• Use the Services to compete unfairly with us or to build a competing product, dataset, or service using our content, materials, or systems

7. Intellectual Property Rights

The Services, including all text, graphics, branding, trade names, logos, designs, software, templates, downloads, layouts, user interfaces, service descriptions, audio, video, documentation, and other content or materials made available through the Services, are owned by or licensed to People Direct Global Hub LLC and are protected by intellectual property, unfair competition, and other applicable laws. Except for the limited right to access and use the Services for their intended purpose, nothing in these Terms grants you any ownership interest or license to use our intellectual property without our prior written consent.

8. User Content, Feedback, and Submissions

If you submit or transmit any content, information, feedback, suggestions, testimonials, reviews, comments, files, inquiries, ideas, or materials to us through the Services ("Submissions"), you represent and warrant that:

• You own or control the necessary rights to the Submissions
• Your Submissions do not violate any law or third-party right
• Your Submissions are not unlawful, defamatory, infringing, harassing, or malicious

By providing Submissions, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, reproduce, adapt, modify, publish, display, distribute, and otherwise use such Submissions for business, operational, marketing, service-improvement, legal, and administrative purposes, subject to our Privacy Policy and any separate written agreement with you. We are not obligated to keep any Submission confidential unless expressly agreed in writing.

9. Purchases, Fees, Billing, and Refunds

Certain Services may require payment of fees. By purchasing paid Services, you agree to provide current, complete, and accurate billing and payment information and authorize us and our payment processors to charge the applicable fees, taxes, and other charges.

Unless otherwise stated in a separate written agreement, proposal, invoice, order form, service description, or refund policy:

• All fees are stated in U.S. dollars
• Fees are non-refundable once paid
• You are responsible for any taxes, duties, or charges imposed by applicable authorities
• We may suspend or terminate access to paid Services for nonpayment
• Chargebacks or payment disputes initiated without a valid legal basis may constitute a material breach of these Terms

If specific services are offered under separate proposals, statements of work, invoices, subscription pages, or service agreements, those additional terms will also apply.

10. Subscription and SaaS Terms

If we offer subscriptions, recurring services, software access, or SaaS-related features, the following additional terms apply unless superseded by a separate written agreement:

• Subscriptions may renew automatically for the billing period disclosed at sign-up unless canceled in accordance with the applicable cancellation terms
• You are responsible for canceling before renewal if you do not wish to continue
• We may modify subscription features, pricing, or availability upon reasonable notice where required
• Access to software, platforms, dashboards, automation systems, templates, and digital resources is licensed, not sold
• We may suspend or terminate subscription access for violation of these Terms, nonpayment, security concerns, or misuse

11. SMS Messaging, Consent, and TCPA Compliance

If you provide your mobile number and opt in to receive text messages from People Direct Global Hub LLC, you agree that we may send you SMS or text messages related to your inquiries, appointments, customer support, service updates, account-related notices, and, where you have provided the required consent, promotional or marketing messages.

You acknowledge and agree that:

• Consent to receive text messages is not a condition of purchase unless expressly stated otherwise where permitted by law
• Message frequency may vary based on your interactions with us and the Services you request
• Standard message and data rates may apply depending on your carrier and mobile plan
• You are responsible for providing a valid mobile number and updating it if it changes
• Mobile carriers are not responsible for delayed or undelivered messages

If a text message requires consent under applicable law, including the Telephone Consumer Protection Act ("TCPA"), we will seek the level of consent required for that message type.

Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message from us. After we process your opt-out, you may receive one final confirmation text. No further non-exempt text messages will be sent to that number unless you opt in again.

12. Third-Party Services and Integrations

The Services may rely on, link to, embed, integrate with, or otherwise involve third-party tools, platforms, processors, websites, or services, including without limitation payment processors, booking systems, CRM platforms, analytics providers, advertising platforms, email service providers, and automation tools.

We do not control and are not responsible for third-party services, including their availability, security, content, privacy practices, pricing, terms, performance, or policies. Your use of third-party services is at your own risk and may be governed by separate terms and privacy notices.

13. Privacy

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. To the extent there is a conflict between these Terms and the Privacy Policy regarding privacy-specific matters, the Privacy Policy will control for those matters.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. PEOPLE DIRECT GLOBAL HUB LLC DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, QUIET ENJOYMENT, SYSTEM INTEGRATION, OR THAT THE SERVICES WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS OR THAT ANY DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEOPLE DIRECT GLOBAL HUB LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PEOPLE DIRECT GLOBAL HUB LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE APPLICABLE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless People Direct Global Hub LLC and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Services, your violation of these Terms, your violation of any law or third-party right, your Submissions, or your negligence or willful misconduct.

17. Suspension and Termination

We may suspend, restrict, disable, or terminate your access to all or any part of the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms, created risk for us or others, failed to pay amounts due, misused the Services, or engaged in unlawful, fraudulent, abusive, or harmful conduct.

Upon termination, the rights granted to you under these Terms will immediately cease, but all provisions that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and payment obligations.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.

19. Dispute Resolution; Venue

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be addressed through good-faith efforts to resolve the matter informally by contacting us at info@peopledirectglobalhub.com.

If a dispute is not resolved informally, then, unless otherwise required by applicable law or a separate written agreement, the dispute shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and each party irrevocably submits to the personal jurisdiction and venue of those courts.

You and the Company waive any objection to venue or forum on the basis of inconvenience to the extent permitted by law.

20. No Class Actions

To the maximum extent permitted by law, you agree that any dispute against People Direct Global Hub LLC shall be brought only in your individual capacity and not as a plaintiff or class member in any purported class, collective, representative, mass, or private attorney general proceeding.

21. Electronic Communications and Signatures

You consent to receive communications from us electronically, including by email, website posting, platform notification, invoice, or other digital means. You agree that electronic communications, records, and signatures satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

22. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disruptions, internet or utility failures, platform outages, cyberattacks, governmental actions, epidemics, pandemics, supply disruptions, or failures of third-party services.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.

24. Waiver

No waiver by us of any term or condition in these Terms shall be deemed a further or continuing waiver of that term or condition or any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

25. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, restructuring, or sale of assets.

26. Entire Agreement

These Terms, together with our Privacy Policy and any additional service-specific terms, proposals, invoices, statements of work, order forms, subscription terms, or written agreements expressly incorporated by reference, constitute the entire agreement between you and People Direct Global Hub LLC regarding the Services and supersede all prior or contemporaneous discussions, understandings, and agreements relating to the Services.
